Evernorth’s $132 million for XRP is a warrant ceiling: it arrives only if holders pay $11.50 a share

Evernorth's SEC filing registers XRPN warrant shares at $11.50. The $132.2M arrives only if holders pay, and no XRP purchase has been announced.

Evernorth Holdings, the Nasdaq-listed XRP treasury company that trades as XRPN, has registered 11,499,992 new Class A shares with the SEC, the stock its public warrant holders receive if they exercise at $11.50 each. The prospectus, filed on 19 October 2026 under Rule 424(b)(3), puts the most the company could collect at “approximately $132.2 million”. Since Wednesday, several crypto outlets have turned that into Evernorth “eyeing” $132 million to buy more XRP. The filing says something narrower.

It is not a share sale. No bank is placing stock, no investor has committed money, and the company receives cash only when a warrant holder chooses to pay the exercise price. Evernorth writes that it expects to use any net proceeds “for general corporate purposes” and keeps “broad discretion” over them. XRP is not named in the use-of-proceeds section, and the document announces no purchase. The strategy section is broader: it says Evernorth may raise capital from time to time for general corporate purposes, “including the purchase of XRP”. It does not tie that to the warrants.

What Evernorth does have is already on its balance sheet. The prospectus says the company held about 473 million XRP on 9 October, the day its merger with the blank-check company Armada Acquisition Corp. II closed. At 04:37 UTC on 22 October, with XRP at $1.35 on our market snapshot, that stack was worth roughly $639 million. The $132.2 million is a ceiling on future money, and nobody is obliged to reach it.

Evernorth XRP warrants: what the 19 October filing registers

The warrants started life inside the units Armada sold in its May 2025 initial public offering. At the merger they were swapped for Evernorth warrants, which trade on Nasdaq as XRPNW. Each one lets its holder buy one Class A share for $11.50. Multiply 11,499,992 warrants by $11.50 and you get $132,249,908, the figure every headline rounded.

Why file now? Under the warrant agreement, no warrant can be exercised for cash unless a registration statement covering the new shares is effective and a current prospectus is available. The SEC declared the post-effective amendment effective on 19 October, the same day the 424B3 went out. The filing opens the door for cash exercises. It does not push anyone through it.

The company is blunt about that. “There is no assurance that the holders of the Public Warrants will elect to exercise any or all of such warrants,” the use-of-proceeds section reads. There are also cases where Evernorth gets nothing at all: if a registration statement is not kept effective, holders may exercise on a cashless basis, giving up part of their warrants instead of paying $11.50, and the company would issue shares without receiving a dollar.

The $18 trigger that could force the issue

Nothing in the warrant terms makes holders pay before 2031, but Evernorth has one tool to bring the decision forward. It may redeem all outstanding warrants at $0.01 each, with at least 30 days of written notice, if the Class A stock closes at or above $18.00 on any 20 trading days within a 30-trading-day window. Once a notice goes out, the filing says, holders may still exercise before the scheduled redemption date; warrants left unexercised would be bought back for a cent.

The test cannot have been met yet: XRPN has traded for fewer than 20 sessions since its debut, and its known prices sit below $18. According to The Block, XRPN opened at $16.68 on its first trading day, Monday 12 October, and closed at $16.48 on 13 October. The prospectus gives the closing prices on Nasdaq on 16 October as $15.45 for the stock and $4.16 for a warrant. The warrants expire at 5:00 p.m. New York time on the fifth anniversary of the closing, which puts the deadline on 9 October 2031.

Those 16 October closing prices, taken from the prospectus, give a simple comparison. The gap between the $15.45 share and the $11.50 exercise price was $3.95, while the warrant itself closed at $4.16, or $0.21 more. A warrant sold on the market changes hands between investors and sends nothing to Evernorth; only an exercise for cash does. The subtraction is ours, and it describes one day’s prices, not what holders will do.

No XRP purchase in the prospectus, only an intention

The headline link between the warrants and XRP comes from elsewhere in the document. Describing what drives its results, Evernorth says it expects “in the future to acquire additional XRP through at-market purchases to build our strategic reserve of XRP.” The sentence states a strategy. It sets no amount, no date and no link to the warrant money.

Several outlets have turned the $132 million into a number of coins. That is division, not company guidance. Our own version: at $1.35, the XRP price at 04:37 UTC on 22 October on our market snapshot, the full $132.2 million would buy about 98 million XRP before fees, around a fifth of the current holding, and only if every warrant were exercised for cash and every dollar went into XRP. The filing promises neither.

Evernorth’s stated yardstick is XRP per share, which it calls its “primary key performance indicator”. That matters for the warrants. Exercises create up to 11.5 million new Class A shares, close to half of the 23,638,882 Class A shares outstanding on 9 October (Class C shares and units of the Pathfinder subsidiary held by insiders can also be turned into Class A stock, so the economic dilution is smaller). If the cash came in and sat in dollars, XRP per share would fall. Buying XRP with it would roughly offset that. The company has not said which it will do.

Where the 473 million XRP came from

The treasury was assembled before the stock ever traded, mostly from coins handed over in exchange for shares. The prospectus lists the pieces.

  • Arrington XRP Capital Fund, the SPAC’s sponsor, contributed 211,319,096 XRP for Class A and Class C stock.
  • Ripple contributed 126,791,458 XRP to Pathfinder Digital Assets LLC, the operating subsidiary, in exchange for units.
  • The Larsen Lam Children’s Remainder Trust, which the filing calls an investor affiliated with Ripple, contributed 50 million XRP.
  • Private placement investors paid about $214.05 million in cash and 600,000 XRP (advance funding), plus $10.5 million and 200,000 XRP (delayed funding), for shares priced at $10.00.

Much of the advance funding cash has already become XRP. The prospectus states that Evernorth raised $214.1 million in cash and 261,919,096 XRP from its private placements and that the cash was then used, as some subscription agreements required, to buy 84,365,876 XRP. On 30 June 2026, it adds, Evernorth held 346,284,972 XRP and Pathfinder 126,791,458, a total of about 473.1 million (our addition). In other words, the treasury reported at closing was already in place before the stock listed, and those purchases are past, not new. Other cash came from the SPAC trust: holders of 18,463,753 Armada shares, about 80.3% of those that could redeem, took their money back at roughly $10.60 a share, leaving about $47.6 million for Evernorth. On 12 October the company also sold $30 million of 4.00% convertible notes due 2031 to a Korean private investment trust managed through NH Investment & Securities, convertible at about $10.20 a share. Bitcoin.com put gross cash proceeds at about $300 million before transaction expenses; the prospectus passages we read do not give a single cash total after those purchases.

The timing hurt the coins. The merger agreement fixed a “Signing XRP Price” of $2.36609, taken on 18 October 2025. The closing price used for share counts was $1.43069, about 39.5% lower. Advance subscribers’ share counts were scaled by the ratio between the two, and adjustment shares that would have been issued had XRP risen were never triggered.

The Q4 plan with Ripple, Kraken, Coinbase and BitGo

On 14 October Evernorth published a release titled “Evernorth to Begin Deploying from 473 Million XRP Treasury with Ripple, Kraken, Coinbase and BitGo”. According to that release and The Block’s report the same day, the four firms are execution partners and the company plans to start accumulating and deploying XRP from the fourth quarter of 2026. Bitcoin.com, reporting on the release, says the start is subject to closing conditions and required approvals, and Evernorth has not reported them as met. The announcement did not say how much XRP would be deployed. The Block valued the treasury at about $648 million at prices on 14 October.

The prospectus fills in what “deploying” means. Evernorth plans to put part of its XRP to work in traditional finance, lending coins to qualified institutional counterparties, running covered calls and basis trades between spot and derivatives. On the decentralised side, it wants to supply XRP to lending protocols and to automated market maker pools. It names Japan and South Korea as its first markets abroad. All of the XRP is held at first with BitGo Bank & Trust, whose roughly $250 million insurance policy is shared among its clients and is not dedicated to Evernorth.

One thing it will not do is stake. “Pubco will not directly or indirectly participate in any staking program,” the filing states, noting that the XRP Ledger does not use proof-of-stake in the first place. Investors looking for staking income, it adds, should look at other options.

Day-to-day treasury work falls to Hugo Jeandesboz, who joined as chief investment officer on 12 October from Coinbase Asset Management, where he was co-chief investment officer. In the press release attached to an 8-K, chief executive Asheesh Birla linked the opportunity to “recent XRP Ledger upgrades” that are “bringing lending and DeFi to XRP”.

Evernorth plans to start deploying its 473 million XRP with four partners from the fourth quarter, subject to approvals.

The DeFi phase waits on the XRP Ledger

That lending is not live yet. Native lending on the XRP Ledger needs an amendment that validators have to approve, and as we reported last week, the lending amendment is still well short of the vote it needs, while a separate cleanup amendment, once expected on 23 October, now projects to 4 November after its validator majority lapsed for under two hours on 21 October, CoinDesk reported. According to Bitcoin.com, Evernorth plans to add DeFi strategies on the ledger once validators activate native lending and it has been proven on the live network. Until then, the yield part of the plan rests on the centralised strategies.

Ripple’s place in the company is also capped. The articles give Evernorth the right to redeem shares, suspend rights or force sales if the Ripple group’s ownership goes above 9.9%. Ripple Labs beneficially owned 1,678,382 Class A shares at closing, according to an 8-K filed on 13 October. The prospectus shows how the cap works: Ripple’s coins earned 18,139,927 Pathfinder units, and only the part that keeps the group under 9.9% was turned into Class A stock, the rest staying as units.

XRPN stock: thin float, steep premium

The 80% redemption rate left a small public float. Only 4,536,247 of Armada’s public shares turned into Evernorth stock, and the prospectus counts 21 holders of record of the Class A shares as of 16 October (most investors hold through brokers, so that number says little about the true count). Thin floats tend to make prices jumpy, and XRPN has been trading well above the $10 at which subscribers bought in.

That premium is what gives the warrants their value. It also frames the $132.2 million: below $11.50 a share, exercising would cost more than buying the stock on the market, and the redemption call needs $18. We found no reliable closing price for 21 October, so we do not quote one here. XRP traded near $1.35 at 04:37 UTC on 22 October, up about 1% over 24 hours.

Treasury companies have had a rough autumn. SkyAI sold all of its SOL and turned to buying back its own stock, and Tron Inc. closed just above Nasdaq’s $1 floor days after a share-sale deal. Evernorth is in a different spot, trading above its subscription price, but the model is the same: the shares are worth what the market pays above or below the coins behind them.

Uphold lists XRPN for US users

A smaller piece of news landed the same week. Uphold said on 20 October that XRPN is available through its equities service, Bitcoin.com reported. The service is open only to eligible US users, who must go through a separate onboarding, and offers more than 4,000 US stocks and ETFs, with fractional purchases from $5. Uphold Securities Inc. acts as broker-dealer and Apex Clearing holds and settles the shares. It widens access to the stock; it brings no money to the company.

For readers in Europe, XRPN is a US share, not a crypto-asset under MiCA, and neither France’s AMF nor Italy’s Consob supervises it. It can be bought only through brokers that offer US equities, and Uphold’s equities service is not open outside the United States.

How a warrant ceiling differs from a raise

A share sale or a private placement brings in a known amount on a known date: the buyers have signed and the bank has priced the deal. A warrant registration is closer to an open tap that the holders control. They pay only if the share price makes it worth it, they can wait until 2031, and they can sell the warrant instead. When crypto treasury firms announce a “war chest”, the first question is which of the two it is. Our guide on how to read crypto news critically covers that habit in more detail, and the coin itself has its own page on XRP.

What to watch next

Three filings would change this story. An 8-K or a quarterly report disclosing warrant exercises would show whether any of the $132.2 million has arrived. A disclosure of XRP bought after closing would be the first evidence of the “at-market purchases” the prospectus describes. A redemption notice would mean the stock met the $18 test and holders have 30 days to act.

On the ledger, the cleanup amendment is projected for 4 November at 14:46 UTC if its majority holds for 14 straight days, but it is the lending vote that Evernorth’s DeFi plan depends on. On the partner side, the company has said deployment begins in the fourth quarter, which ends on 31 December, subject to approvals it has not yet reported as received.
